Acceptance
By creating an account or using the Front Office, you agree to these Terms.
These Terms of Service form a binding agreement between you and Diado. If you do not agree, do not create an account or use the service. You confirm that you have the authority to agree on behalf of any business or organisation you sign up for.
Service description
What Diado is, and what the paid plans add.
Diado provides a Front Office for service businesses: a public page, a customer intake form, an inbox for incoming enquiries, and a quote pipeline you can run with your team. The Free tier is the Front Office itself and is provided at no charge.
Growth Starter and Growth Pro are paid add-ons that layer the analytics dashboards, custom branding, multi-region public pages, automation rules, and team tools that help a working business scale. The product you start with is the product you stay on: we do not lock features behind tier churn or down-migrations.
Account obligations
Your end of the bargain.
You agree to provide accurate, current information when you create your account, to keep your credentials confidential, and to keep your contact preferences up to date. You are responsible for all activity that occurs under your account and for the customer data you choose to store in Diado.
Acceptable use
What you may not do with Diado.
You may not use Diado for any illegal purpose, to send unsolicited messages or spam, to scrape or systematically harvest data from the platform, to attempt to reverse-engineer the software or its security, or to use it in any way that infringes third-party rights. You may not misrepresent yourself, your business, or your products to your customers through Diado’s intake or messaging surfaces.
Billing
Free stays free; paid plans bill through Stripe.
The Free tier is free of charge and there is no obligation to upgrade. Growth Starter and Growth Pro are billed through Stripe’s hosted checkout at the prices shown on our pricing page. You can cancel any time from inside your billing settings; we do not refund partial billing periods by default, except where required by applicable law. Prices may change with at least 30 days’ notice, and the change applies at your next renewal.
Intellectual property
Who owns what.
Diado retains all right, title, and interest in and to the platform, the brand, the software, and any improvements we make to it. You retain all right, title, and interest in and to your customer data, your business content, and any trademarks or marks you upload or display through the product. You grant Diado a limited licence to host, display, and process your content solely to operate the service for you.
Termination
When either side can call time.
You may close your account at any time from inside the product or by contacting us. We may suspend or terminate accounts that breach these Terms, that pose a security or legal risk, or that have been inactive for an extended period, with reasonable notice where feasible.
Disclaimers
The service is provided as is.
Diado is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any specific business outcome will result from using it.
Limitation of liability
How far our liability extends.
To the maximum extent permitted by law, our aggregate liability for any claim arising from or related to the service is limited to the greater of (a) the amounts you paid us in the twelve months before the claim and (b) USD 100. This cap does not apply to liability that cannot be excluded by law, to gross negligence or wilful misconduct, or to your indemnification obligations below.
Indemnification
Holding us harmless from misuse.
You will indemnify and hold Diado harmless from third-party claims arising from your customer data, your use of the service in violation of these Terms, or your content that infringes the rights of a third party. We will notify you of any claim we seek to indemnify under, give you the opportunity to defend it, and reasonably cooperate at your expense.
Governing law
The legal frame around these Terms.
These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. Any dispute arising from these Terms is subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
Changes to terms
How updates work.
We may update these Terms from time to time. When we do, we’ll post the revised version with a new “Last updated” date at the top of this page. Continued use of Diado after a change constitutes acceptance of the revised Terms. If a change is material, we’ll let you know by email or in-product notice before it takes effect.
